| 内容記述 | 本稿は、ローマI規則をその前身であるローマ条約と比較する。欧州司法裁判所の先行判決等の解釈指針について考察した後、当事者による法選択がある場合の準拠法決定ルール(非国家法や条約の選択可能性を含む)を検討し、次いで、法選択がない場合の準拠法決定ルールを検討する(最密接関係地法と特徴的給付の理論を中心に、特に売買契約・役務提供契約・フランチャイズ契約・販売店契約・賃貸借契約・ライセンス契約・交換契約・ジョイントベンチャー契約に言及する)。また、絶対的強行法規の特別連結についても考察する。さらに、消費者契約及び個別労働契約の特則を検討し、債権譲渡の準拠法についても、第三者に対する譲渡の効力について明文規定が設けられなかった背景を含めて考察する。 | |||||

| 内容記述 | This article compares the Rome I Regulation with its predecessor, the Rome Convention, with respect to four key aspects: party autonomy and its restriction by the mandatory rules, special rules for certain categories of contracts to protect the weaker parties, legal predictability and certainty, and the simplicity of the rules. It examines in particular the following provisions: Article 3 (freedom of choice), Article 4 (applicable law in the absence of choice), Article 6 (consumer contracts), Article 8 (individual employment contracts), Article 9 (overriding mandatory provisions) and Article 14 (voluntary assignment). Besides presenting the comparative analysis, this article considers a number of issues of interpretation concerning those provisions. | |||||
