| 内容記述 | 本稿での「企業再生」は、再建型法的手続を適用した企業を過去のしがらみから脱却させ、再出発させることを重点に早期再建を検証する。筆者は、再建型法的手続の企業を中心に、適用した企業に買収監査(Due Diligence)を行い、管財人および経営者、従業員の事情聴取を行ってきたなかで、従業員が再生に対しての管財人並びに旧経営陣の経営続投に対する不安感が多くあった。一方では、経営者たちも後継者難の悩みを抱え、再生に対して、不安を募らせていた。また、経営者たちのなかでは「現状の再建型法的手続は、未だネガティブなイメージがあり、申し立てに躊躇してしまう。再建型法的手続による成功事例(企業再生)が少なく、どのようなスキームで再建できるのかを知りたい。むしろ、中途半端な再建をしなければならない状態では申し立てした意味がない。これでは、敗者復活(再生)ができるのか不安で、再建型法的手続の意味がわからない。」といった意見も多く耳にした。本稿の目的は、以上の調査から再建型法的手続の倒産処理において「企業再生」に何が必要なのか。再建型法的手続の主旨である「企業再生」を有効にかつ早期実現できるように、人的・制度枠組みを提言する。 | |||||

The author audited purchase (Due Diligence), existed to the enterprise that applied mainly the enterprise of the rebuilding type legal procedure by the employee on the inside where the administrator, the manager, and the employee had been questioned, and there were a lot of anxieties to management the consecutive pitching of the administrator and former executives to the reproduction. On the other hand, managers also held the worry about the difficulty of finding successors, and uneasiness was felt increasing for the reproduction. Moreover, managers. "The rebuilding type legal procedure of the current state is still a negative image, and hesitates in the statement. I want to know can the success case (revival of enterprises) by the rebuilding type legal procedure able to be few, and in what scheme to rebuild it. There is no stated meaning in the state to have to do a halfway rebuilding. With this, it is uneasy, and doesn't understand the meaning of the rebuilding type legal procedure. whether it can be a consolation (reproduction)" It heard of a lot of opinions. What of the purpose of this text is necessary for "Revival of enterprises" in the bankruptcy processing of the rebuilding type legal procedure from the above-mentioned investigation?"Revival of enterprises" that is the purport of the rebuilding type legal procedure does, and it is effective and to achieve it at the early stage, proposes the human system frame. | |||||
