| 内容記述 | 近年、「企業再生」という言葉が、わが国において頻繁に耳にされるようになってきた。日本経済の長期不況が続くなかで個々の企業を過去のしがらみから脱却させ、再出発させることの重要さが理解されるようになり、政府や金融機関による本腰を入れた「企業再生」への取り組みが始まった。筆者は、現在企業のM&Aに携わる業務を行うなかで、主に再建型法的手続を適用した企業に買収監査(Due Diligence)を行い、管財人および経営者、従業員の事情聴取を行ってきた。そのなかで、一番多く耳にしたのは、従業員が再生に対しての管財人並びに旧経営陣の経営続投に対する不安感であった。一方では、経営者たちも後継者難の悩みを抱え、再生に対する不安を募らせていた。また、経営者たちは「現状の再建型法的手続では、大型倒産事件に関しては、社会的影響から司法、行政が優先的に再生に関与するが、中小企業の場合は関与さえされない。むしろ、中途半端な再建をしなければならない状態である。」これでは、敗者復活(再生)ができるのか不安で、再建型法的手続を申立てる意味がない。 本稿の目的は、以上の実務経験から再建型法的手続の倒産処理において「企業再生」に何が必要なのか。再建型法的手続の主旨である「企業再生」を有効にかつ早期実現できるように、人的・制度枠組みを提言したい。 | |||||

The importance of getting rid of past bonds an individual enterprise on the inside where a long-term recession of Japanese economy continued, and making it start afresh came to be understood, and the approach on "Corporate reproduction" that put the set about in earnest by the government and the financial institution started. The author audits purchase (Due Diligence), and has questioned the administrator, the manager, and the employee to the enterprise that chiefly applies the rebuilding type legal procedure on the inside where the business to be involved in M&A of the enterprise now is done. In a lot of hearing by the average, the employee was the anxieties to management the consecutive pitching of the administrator and former executives to the reproduction. On the other hand, managers also held the worry about the successor accident, and uneasiness to the reproduction was felt increasing. Moreover, managers :. 「Administration of justice and the administration take part from the social influence in the reproduction by priority in the rebuilding type legal procedure of the current state for the large-scale bankruptcy event, and even participation is not done for the small and medium-sized enterprise. It is necessary to do a halfway rebuilding. 」, With this, it can be a consolation (reproduction) or there is no meaning to be uneasy, and to state the rebuilding type legal procedure. What of the purpose of this text is necessary for "Corporate reproduction" in the bankruptcy processing of the rebuilding type legal procedure from the business experience of the above-mentioned? "Corporate reproduction" that is the purport of the rebuilding type legal procedure does, and I am effective and to achieve it at the early stage, want to propose the human system frame. | |||||
